This senior leadership role is responsible for providing strategic legal guidance, managing legal risk, supporting commercial and corporate banking activities, overseeing litigation matters, and ensuring compliance with applicable federal and state banking laws and regulations.

The ideal candidate will possess extensive experience representing financial institutions and advising executive leadership on a broad range of legal, regulatory, lending, employment, contract, and operational matters. This individual will serve as a trusted advisor to management while helping protect the bank's legal interests and supporting the continued growth of the organization.

Essential Duties & Responsibilities:

Provide legal counsel and guidance to executive leadership, business units, and operational departments throughout the Florida region
Advise management on legal, regulatory, operational, employment, compliance, and risk-related matters
Conduct comprehensive legal research involving federal and state banking laws, regulations, case law, and regulatory guidance
Assist in identifying, evaluating, and mitigating legal and regulatory risks across the organization
Support commercial and corporate lending activities, including reviewing, negotiating, and advising on loan structures, financing agreements, amendments, and related documentation
Draft, review, negotiate, and interpret a wide variety of contracts, vendor agreements, service agreements, and corporate documents
Perform and oversee residential and commercial loan closings, including document preparation and negotiation
Assist with internal investigations and legal reviews as requested by executive leadership
Manage relationships with outside counsel and coordinate legal matters requiring external support
Support litigation management, foreclosure actions, title disputes, probate matters, collections, and other legal proceedings
Review and respond to subpoenas, levies, garnishments, legal requests, and regulatory inquiries
Represent the bank in real estate transactions, regulatory proceedings, legislative matters, and other legal matters as required
Assist with REO transactions, foreclosure litigation, and the negotiation of property disposition agreements
Support internal and external audits, examinations, and regulatory reviews
Develop, update, and maintain legal department policies, procedures, and governance standards
Conduct legal and regulatory training for employees and management
Monitor legislative and regulatory developments and advise management regarding changes that may impact the bank
Assist in department budgeting, planning, and operational management
Represent the bank within professional, business, regulatory, and community organizations

MINIMUM REQUIREMENTS:

Juris Doctor (J.D.) degree from an accredited law school required
Active membership and good standing with the Florida Bar required
Minimum 10 years of progressively responsible legal experience representing financial institutions, banks, credit unions, or related organizations required
Strong knowledge of banking regulations, commercial lending, real estate law, contract law, corporate governance, and financial services compliance
Experience supporting commercial and corporate loan transactions and documentation
Experience managing litigation, foreclosure matters, regulatory inquiries, subpoenas, garnishments, and legal proceedings
Experience drafting, reviewing, and negotiating complex contracts and commercial agreements
Strong understanding of banking operations, compliance requirements, and regulatory expectations
Experience managing outside counsel and legal vendors
Fully bilingual in English and Spanish required
Excellent legal research, writing, negotiation, and analytical skills
Strong communication and relationship management abilities
Ability to manage multiple priorities in a fast-paced environment while exercising sound legal judgment
Previous in-house banking legal experience strongly preferred
